The Directors have declared the specified dividend on the non-cumulative convertible preference shares of € 0.01 for the twelve months to 31 March 2002.

The dividend will be paid on 28 March 2002 at a rate of € 67.70 per share to holders on the register at close of business on 13 March 2002.
