growth of its Spanish associate, Linea Directa.

Direct Line Group (DLG) had a record year,
with profits rising to £261 million and in-force policies increasing to over 10
million.

Gross written premiums increased by 36% to
£2.1 billion.

Through its direct and partnership brands,
DLG now serves more than 4.5 million motor insurance policyholders of which 4
million are
in the UK 1.4 million home insurance policyholders and 3.5 million rescue
policyholders.

Overall, DLG saw an 8% increase in policy
numbers.

directline.com, DLGs rapid online quote and
buy internet facility for its general insurance products, achieved over 228,000
web-enabled
sales in 2001.

In February 2001, DLG launched the UKs
first online claims registration and tracking facility for its motor insurance
customers.

jamjar.com, DLGs motoring website, sold
over £83 million of cars in 2001, making it the UKs largest internet car
retailer.

DLG has also seen significant overseas
expansion with the launch of a joint venture in Japan with Yasuda Life, and the
acquisition of AllStates motor insurance operations in Italy and Germany, two
of the worlds largest motor insurance markets.

Linea Directa in Spain has increased its
in-force policies to over 410,000, making it Spains largest direct private
motor insurer.

Green Flag Group is a business-to-business
provider of personal general insurance, motoring assistance and other motor
related products in the UK.

Green Flag Group distributes its products
through partnerships with leading banks, insurance companies and motor
manufacturers as well as retail and affinity groups, most notably Tesco Personal
Finance.
